Course Objectives: The main objective of this course is to raise legal awareness and legal reasoning about employment and commercial relations for the students of economics and administrative sciences. Therefore, the course aims to equip the students that are out of the legal discipline with entrepreneur skills as well as a comprehensive understanding about their rights and the legal concepts that they would encounter in their professional lives. The examples and discussions included in this course will enable them to navigate successfully and find legal solutions to business problems. They will also be able to conduct fair business practices and to assess legal consequences of their decisions by asking relevant questions about the subject matters and spotting problems with a critical approach.

Learning Outcomes

The students who have succeeded in this course;
At the end of the course, you will be able to:
1.Determine the unfair business practices and sanctions, also unfair working conditions, such as discrimination and mobbing along with the decent work regulations.
2. Understand the basic terms of Employment Law and Commercial Law.
3. Analyze the rights and obligations of employee and employer, and the legal outcomes of termination of the contract
4. Possess knowledge in types of employment contracts and types of partnerships.
5. Evaluate the concept of concept of sustainability from the perspective of corporate governance rules, sustainable lease certificates, etc

Course Content

Upon successful completion of the course, students will have a broad theoretical background on fair business practices and business ethics principles such as non-discrimination, equality, and challenges against mobbing. By absorbing the course material, they can determine the legal foundations of respect for the differences and assess their deeds. During their activities in businesses, they will have the legal infrastructure necessary for an entrepreneur and can take decision and initiative within the framework of the legal rules that govern business and employment relations. They raise social awareness about social rights in their professional lives. They also have awareness of justice and occupational health and safety issues.

Weekly Detailed Course Contents

1) The birth and development of the employment law will be examined. Within the scope of the course, the individual part of the employment law and its principles will be defined. • To follow the video content • To read the uploaded readings for Week 1
2) The key element for employment contract is the “subordination”. It will be thoroughly examined. The conditions for concluding a valid employment contract, and the terms of “employee”, “employer”, and “workplace” will be discussed as an introduction to the employment law. • To follow the video content • To read the uploaded readings for Week 2
3) The current components of an individual employment contract will be discussed considering distinctive features of the employment contract. The types will also be defined such as “employment contract for definite and indefinite periods”, “part-time and full-time contracts”, “contracts with a trial clause (probation)”, etc. • To follow the video content • To read the uploaded readings for Week 3
4) The obligations of the employee and the employer will be examined separately. • To follow the video content • To read the uploaded readings for Week 4
5) The basic social rights of the employees (such as the regulations on working time and rest periods) will be examined. Annual paid leave, its conditions and consequences will also be discussed. • To follow the video content • To read the uploaded readings for Week 5
6) The ending of an individual employment contract and its legal consequences will be examined. The concept of the just cause and immediate termination (summary termination) and its differences compared with the termination with the notice period will be discussed. • To follow the video content • To read the uploaded readings for Week 6
7) The employment security system and its aim will be introduced. The concept of severance pay, its conditions, and other related consequences arising from the termination of the contract will be discussed. • To follow the video content • To read the uploaded readings for Week 7 • To reiterate all content
8) Following an overview of the commercial law theories and the historical background of commercial law, the main pillars of the law of commercial enterprise will be addressed. The definition, legal nature, and transfer of commercial enterprise, pledge on movables in commercial transactions, the title of merchant and will be introduced. • To follow the video content • To read the uploaded readings for Week 8
9) Consequences of being merchant, merchant assistants, how they are appointed, the scope and limits of representation authority will be explained. • To follow the video contant • To read the uploaded readings for Week 9
10) Unfair competition rules with the sanctions of the unfair business practices will be explained. Company law will be introduced, especially as a branch of start-up law. Legal types of companies in Turkish law also will be introduced especially for entrepreneurs. The principle of “Limited Liability” and “Lifting the Corporate Veil” as an exception will be briefly explained. • To follow the video content • To read the uploaded readings for Week 10
11) Organs of the joint stock company, on this regard the board of directors, how they are appointed and dismissed will be addressed. Also, the composition and the organizational structure of the board of directors, the power and duties of the board of directors, rules of board meetings, rights and obligations of directors of the company, liability of directors, invalidity of the board of directors decisions and lastly the issue of conflict of interests will be examined. • To follow the video content • To read the uploaded readings for Week 11

13) Shareholders’ rights and obligations, securities, types of them in especially publicly held and private companies and dissolution of joint stock companies with liquidation procedure will be explained. • To follow the video content • To read the uploaded readings for Week 13
14) Concept of sustainability will be briefly explained. On this regard, some remarks, and evaluations about “Corporate Governance Rules”, “Sustainability Principles Compliance Outline” and “Guidelines on Green Debt Instruments”, “Sustainable Debt Instruments”, “Green Lease Certificates” and “Sustainable Lease Certificates” will be discussed. Electronic commerce law also constitutes an important branch for start-ups. The concept and the scope of electronic commerce, parties, features, effects of e-commerce on economic and social life and legislation applicable to e-commerce will be introduced with some remarks and evaluations on Law and secondary legislation on regulation of e-commerce. • To follow the video content • To read the uploaded readings for Week 14 • To reiterate all content
