Course Objectives: This course aims to outline the Turkish Company Law; address the Joint-Stock Company Law in detail ;
Guides on the legal regulations in force and the draft Turkish Commercial Code comperatively regarding the disputes between the company and the shareholders or the company and third parties.

Learning Outcomes

The students who have succeeded in this course;
I. Define the types of companies in Turkish Commercial Code and the related legislation

II. Examines the types of companies comperatively

III. Analyse the parts regarding the companies comperatively between the Turkish Commercial Code in force and the Draft Turkish Commercial Code and determine the differences.

IV. Specify the relationship among the organs of a corporation, the duties of the organs and the responsibilities of organs against shareholders

V. Research and apply the legal provisions and cases regarding the disputes among the subjects of the corporations

VI. Examine the government- private enterprise relationship in the context of publicly held companies

Introduction to Company Law-Ordinary Partnership, Commercial Partnerships: General Provisions, Mergers and Acquisitions , Changing in Company Type, Unlimited Liability Partnership, Limited Partnership, Introduction to Joint-Stock Company Law: Formation, Structure of a Joint-Stock Company: Board of Directors,General Meetings, Auditors , Rights and Obligations of Shareholders, Termination of a Joint-stock Company and Liquidation, Limited Liability Corporation
